1.Agreement to terms

These Terms constitute a legally binding agreement between you and Create Clients LLC. "You" and "your" refer to the individual accessing the Website or the entity on whose behalf that individual is acting. You represent that you have the authority to bind that entity to these Terms.

These Terms apply to the Website only. Any purchase of services from Create Clients is governed by a separate written service agreement, proposal, or order form ("Service Agreement") executed between you and the Company. If there is a conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the services it covers.

2.Our services

Create Clients provides client acquisition infrastructure and related services for businesses, which may include lead generation, paid advertising management, outreach systems, CRM and automation buildouts, AI-powered follow-up systems, sales staffing and management, funnel and web design, and training ("Services").

Descriptions of Services on the Website are for general informational purposes only and do not constitute a binding offer. The specific scope, deliverables, timelines, fees, and terms of any engagement are set exclusively by the applicable Service Agreement.

3.Eligibility

The Website and Services are intended for businesses and business owners. By using the Website, you represent that you are at least 18 years of age and are using the Website for business purposes, not as a consumer for personal, family, or household purposes.

4.Intellectual property

Unless otherwise stated, Create Clients LLC and/or its licensors own all intellectual property rights in the Website and its content, including text, graphics, logos, page designs, frameworks, processes, scripts, templates, and software. All rights are reserved.

You are granted a limited, revocable, non-exclusive, non-transferable license to access the Website and view its content for your own internal business evaluation. You must not, without our prior written consent:

• Republish, reproduce, duplicate, or copy material from the Website;
• Sell, rent, sub-license, or otherwise commercialize material from the Website;
• Redistribute content from the Website;
• Use our name, logo, trademarks, or other brand assets;
• Use any automated system (including scrapers, bots, or crawlers) to access or extract content from the Website, including for training machine learning or AI systems.

Any frameworks, systems, templates, snapshots, or other materials delivered to clients as part of the Services are governed by the applicable Service Agreement.

5.Acceptable use

You agree not to use the Website in any way that:

• Violates any applicable law or regulation;
• Infringes the rights of any third party, including intellectual property, privacy, or publicity rights;
• Attempts to gain unauthorized access to the Website, its servers, or any connected systems;
• Introduces viruses, malware, or other harmful code;
• Interferes with or disrupts the operation of the Website;
• Impersonates the Company or any other person or entity;
• Frames or mirrors the Website, or creates frames around our pages that alter their presentation, without prior written permission.

6.User submissions

If you submit information to us through the Website, including through forms, booking widgets, reviews, testimonials, or communications ("Submissions"), you represent that your Submissions are accurate, that you have the right to provide them, and that they do not violate any third-party rights or applicable law.

You grant Create Clients LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, and display your Submissions in connection with operating and promoting the Website and Services, except where limited by the Privacy Policy or a Service Agreement. We may remove any Submission at our sole discretion.

7.Payments and refunds

Fees for Services are set out in the applicable Service Agreement, proposal, order form, or checkout page. Unless expressly stated otherwise in writing:

• All fees are quoted in U.S. dollars and are due as invoiced or as specified at checkout;
• All payments for Services are non-refundable. Services involve professional time, custom work product, and third-party costs that are incurred upon commencement;
• You are responsible for any applicable taxes, other than taxes on our income;
• We may suspend Services for accounts with overdue balances;
• You agree not to initiate chargebacks for validly invoiced Services. Disputed charges should be raised with us directly at [email protected] first.

8.No guarantee of results

Create Clients provides marketing, sales, and business infrastructure services. The performance of any business depends on numerous factors outside our control, including your offer, pricing, sales execution, market conditions, advertising platform behavior, and follow-through.

We do not guarantee any specific results, including leads generated, appointments booked, revenue, pipeline value, return on ad spend, or profit. Any figures, case studies, testimonials, or examples presented on the Website reflect specific client experiences and are not a promise or projection of your results. Testimonials are not representative of all clients, and your results may differ materially.

Nothing on the Website constitutes legal, financial, tax, or investment advice.

9.Communications and SMS

By submitting your contact information through the Website, you consent to receive communications from us by email, telephone, and SMS regarding your inquiry and our Services, in accordance with our Privacy Policy.

For SMS: message and data rates may apply and message frequency may vary. You may opt out at any time by replying STOP, or reply HELP for assistance. Consent to receive SMS is not a condition of purchasing any Services. No mobile opt-in information will be shared with third parties or affiliates for marketing or promotional purposes.

10.Third-party services and links

The Website and Services may integrate with or link to third-party platforms and services, including advertising platforms, CRM software, scheduling tools, and payment processors. Your use of any third-party platform is governed by that platform's own terms and policies, and we are not responsible for the availability, content, performance, or practices of any third party.

You may link to our home page in a manner that is fair, legal, and does not falsely imply sponsorship, endorsement, or approval by us. We reserve the right to require removal of any link to the Website at any time. Use of our logo or brand assets for linking requires a written license.

11.Disclaimer of warranties

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12.Limitation of liability

To the maximum extent permitted by applicable law, Create Clients LLC and its owners, members, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, business, goodwill, or data, arising out of or relating to your use of the Website, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Website or these Terms shall not exceed one hundred U.S. dollars ($100). Liability arising out of a Service Agreement is governed and capped by that Service Agreement.

13.Indemnification

You agree to defend, indemnify, and hold harmless Create Clients LLC and its owners, members, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your use of the Website; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.

14.Governing law and disputes

These Terms are governed by the laws of the State of North Dakota, without regard to its conflict of law principles.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Website that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Fargo, North Dakota, or remotely by agreement of the parties. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. All disputes shall be brought in the parties' individual capacities only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. Any claim must be brought within one (1) year after the claim arises, or it is permanently barred, to the extent permitted by law.

Before initiating arbitration, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

15.Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any conduct that we believe violates these Terms or is otherwise harmful to the Company, other users, or third parties. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

16.Changes to these terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Changes are effective when posted. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

17.General provisions

• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Create Clients LLC regarding the Website, superseding any prior agreements on that subject. Service engagements are governed by their Service Agreements.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
